ICICI Bank takes in rupee deposits across 5,275 branches and lends them out across India's states, but because the RBI requires 40% of all net bank credit to flow to agriculture, small businesses, and social infrastructure at regulated rates, nearly half the loan book is priced below what a purely commercial bank would charge — and that is not a management decision but a permanent feature of holding the licence. The branch network built to satisfy that mandate is already sitting in place, so when ICICI Bank decided to sell insurance, brokerage, and asset management products through ICICI Prudential Life, ICICI Lombard, ICICI Securities, and ICICI Prudential AMC, it could distribute them over the same customer relationships and physical infrastructure at almost no extra cost. A competitor cannot replicate this by buying one piece of it — purchasing the branch network does not transfer the subsidiaries' IRDAI and SEBI licences, and acquiring the subsidiaries without the banking relationships strips away the distribution that makes those licences valuable. But that same integration creates a fragility: because the same customer often holds a bank account, an insurance policy, and a brokerage account through the same branch relationship, a regulatory action against any one subsidiary travels back through the shared rail and can unsettle the deposit base that funds every loan on the book.

The RBI forces 40% of the bank's lending into agriculture, small businesses, and social infrastructure at fixed low rates, so nearly half the loan book earns less than a commercial rate regardless of what the market would pay.
